N Chandrasekaran to Exit Tata Sons in 2027 After Board Deadlock

MUMBAI — In a major corporate development reshaping India’s business landscape, N Chandrasekaran has announced that he will step down as Chairman of Tata Sons when his current tenure ends on February 20, 2027. The move ends months of speculation and follows a prolonged six-month board deadlock regarding his proposed reappointment.

Chandrasekaran, who has helm-guided the $400 billion conglomerate since 2017, formally requested the Tata Sons board to initiate a structured succession process. In his communication to directors, he stressed that establishing prompt leadership clarity is vital to safeguard the interests of employees, global investors, and group stakeholders.

The announcement sent immediate ripples across Indian financial markets, triggering a sell-off in key Tata Group equities. Shares of flagship technology giant Tata Consultancy Services (TCS) fell by nearly 4% in the immediate aftermath of the news.

What Triggered the Rift? Tata Trusts vs Tata Sons Board

At the heart of the leadership transition lies a reported rift between Tata Sons and Tata Trusts, the philanthropic entity that holds a controlling 66% stake in Tata Sons. While Tata Trusts had recommended a fresh five-year term extension for Chandrasekaran, the proposal failed to achieve unanimous backing when presented to the Tata Sons board on February 24.

Following the lack of consensus, Chandrasekaran opted to defer the vote, leading to a six-month impasse that remained unresolved. Industry insiders reveal that board disagreements centered around several strategic pivots:

  • Air India Financial Strain: Ongoing operational losses and capital infusion requirements for the restructured national carrier.
  • Potential Tata Sons IPO: Debate surrounding the eventual public listing of Tata Sons to comply with Reserve Bank of India (RBI) core investment company norms.
  • Governance & Representation: Differing viewpoints on board representation and long-term capital allocation strategies across subsidiaries.

A Legacy of Aggressive Growth and New-Age Tech Expansion

N Chandrasekaran’s journey with the salt-to-software conglomerate spans nearly four decades, having joined TCS in 1987 before rising to become its CEO in 2009. He made history in 2017 by becoming the first non-Parsi chairman of Tata Sons during a turbulent period for the holding company.

Under his stewardship, Tata Group expanded aggressively across traditional and high-tech sectors, consolidating steel and automotive operations while pioneering major ventures in semiconductors, electric vehicles, battery manufacturing, and e-commerce. He was also instrumental in the historic re-acquisition and integration of Air India into the group.
